Terms of Service
The agreement for the BetterEdits app, the Pro subscription, credits and the trial.
These terms are an agreement between you and Blackmere Labs LLC, 30 N Gould St Ste N, Sheridan, WY 82801, United States ("Blackmere Labs", "we", "us"). They cover the BetterEdits application for macOS (the "App"), the website at betteredits.app, the account dashboard at dashboard.betteredits.app, the BetterEdits API, the command-line tool and the MCP server built into the App (together, the "Service"). By downloading the App, creating an account or using any part of the Service, you agree to these terms and to our Privacy Policy.
If you are using the Service on behalf of a company, you confirm you have authority to bind it, and "you" means that company.
1. The two halves of BetterEdits
The editor is free. Everything you do by hand in the App's window (importing, cutting, captioning, exporting) is free, needs no account and sends nothing to us. Your videos and projects are ordinary files on your Mac, in folders you own.
Pro is agent integration. BetterEdits Pro ("Pro") is a paid subscription that lets an AI coding agent you run yourself (Claude Code, Codex or any client that speaks the Model Context Protocol) drive the editor through the command-line tool and the MCP server, and that pays for footage analysis: our servers transcribe and describe a media file and return a document the agent works from. Automatic captions come from that analysis, so they are part of Pro too. Analysis spends credits (section 5).
2. Your account
You need an account for Pro and for anything that spends credits. You create it from the App, which links your Mac to the account through a short code shown on the dashboard. Each linked Mac holds its own credential; you can sign a Mac out from the dashboard or from the App at any time, and doing so revokes that credential.
You must be at least 18 years old, or the age of majority where you live, to create an account. You are responsible for what happens under your account and on your linked Macs, including what an agent does with the credentials it finds there. Keep your sign-in details to yourself and tell us at g@betteredits.app if you think someone else has them.
3. The App license
We grant you a personal, non-exclusive, non-transferable, revocable license to install and run the App on Macs you own or control, for the purposes these terms allow. We keep every right not expressly granted. You may not reverse engineer, decompile or modify the App except where the law says we cannot stop you; sell, rent or sublicense it; remove notices; or use it to build a competing product by copying its design.
Open-source components inside the App remain under their own licenses.
4. The agent integration
The command-line tool and the MCP server run on your Mac and are operated by software you choose and run (your agent). That software is not ours. Whatever it does in the App, it does as you: you are responsible for the edits it makes, the files it exports and the credits it spends. Read the permissions your agent asks for. The analysis document, including the transcript and the descriptions of what is on screen, is handed to your agent and from there to whatever model provider that agent uses, under that provider's terms, not ours.
5. Credits
Credits are the unit that footage analysis is paid in. This section is the whole story of how they work.
What a credit buys. Analysis is priced by the length of the file analysed, never by the length of anything you export:
| Analysis | Credits |
|---|---|
| Video, per minute of the raw file | 3 |
| Audio (speech), per minute of the file | 1 |
| Music, per minute of the file | 1 |
| Image, per picture | 1 |
Minutes round up per file, and the minimum charge is one credit. Before a file is analysed the Service quotes an estimate and holds that many credits; when the analysis finishes, the hold becomes the charge. An analysis that fails on our side is never charged. A file the same account has already analysed with the same settings is not charged again, so cutting the same footage many times costs once.
Where credits come from.
- The subscription. Every month of Pro grants 450 credits (about 150 minutes of raw video). On the yearly plan the same 450 credits arrive each month, never twelve months at once.
- The free trial. A trial grants 90 credits once (section 6).
- Packs. A Pro or trial account can buy more: 100 credits for $10, 300 for $27, 1,000 for $80, tax included.
- Goodwill grants. We may add credits to an account at our discretion, for example after a problem on our side.
What credits are, and are not. Credits are a prepaid, limited license to use the analysis feature. They are not money, have no cash value, cannot be transferred between accounts, sold or exchanged, and cannot be redeemed for cash. Credits never expire while the account exists; a quiet month carries them over. They can only be spent while the account has Pro (an active subscription, a trial, or a subscription whose latest payment is being retried); an account without Pro keeps its balance and can spend it again once it subscribes. Unused credits are lost when the account is closed (section 10). A refund of a purchase (section 7) removes the credits that purchase granted, which can take a balance below zero until it is topped up.
Spending limits. You can ask us to set a monthly spend cap on your account; analyses that would pass it are refused. Each account may have at most 10 analyses queued or running at once.
Changing the rates. We may change the price of Pro, the packs and the credits an analysis costs. A change to a subscription price applies from the next renewal after we notify you, by email, at least 30 days ahead. A change to what an analysis costs in credits applies to analyses started after the change is posted on the website.
6. Pro, the trial and renewals
The plan. Pro costs $29 a month or $276 a year, tax included, charged by card through Stripe. A subscription renews automatically at the end of each period, monthly or yearly as you chose, until you cancel.
The free trial. A new account is offered 7 days of Pro free, with 90 credits. A payment card is taken at the start and nothing is charged for 7 days. Unless you cancel before the trial ends, the card is charged the plan price you chose at checkout ($29 a month or $276 a year) on the eighth day, and the subscription renews from then on. The checkout page states the charge date and the amount before you confirm. One trial per account and per person; an account that has ever had a subscription is not offered one.
Cancelling. You can cancel at any time from the billing page of the dashboard (Manage plan), which opens your Stripe billing portal, or by writing to g@betteredits.app. Cancelling stops the next charge; Pro stays on until the end of the period already paid, and the credits already granted stay in the account. Cancelling is as easy as subscribing: no calls, no retention screens.
Failed payments. If a renewal fails, Stripe retries the card for a while and emails you. Pro continues during the retries; if payment is not made, the subscription ends and Pro is switched off. The credit balance is kept.
Switching plans. Moving between monthly and yearly happens in the billing portal; Stripe prorates the difference.
7. Payments, taxes and refunds
Purchases are processed by Stripe, Inc. under Stripe's Managed Payments program, in which Stripe acts as the merchant of record: Stripe charges your card, calculates and remits sales tax or VAT, and sends the receipt. The price shown is the price charged, tax included. Stripe's Terms of Sale, shown and linked on the checkout page, apply to the transaction alongside these terms.
Refunds. Subscriptions and packs are non-refundable except where the law requires otherwise, where Stripe's Managed Payments policy requires it, or where we decide to refund in a particular case. If you cancel, you keep Pro until the end of the period you paid for; we do not refund the unused part of a period. If credits from a refunded purchase were already spent, we may deduct them from the balance or decline the refund. Contact g@betteredits.app with the email on the account and the receipt to ask for one.
Consumers in the EU, UK and similar jurisdictions. You may have a right to withdraw from a purchase within 14 days. Because Pro and credits are a digital service delivered immediately, by starting the trial or buying credits you ask us to begin performance at once and acknowledge that the right of withdrawal is lost once analysis has been used. If you have not used any analysis, write to us within 14 days and we will refund.
Promotion codes are subject to their own limits (uses, expiry, one per account) and may be withdrawn at any time.
8. Your content
You keep every right to the videos, audio, images and projects you edit and analyse ("your content"). We claim no ownership of it and no license beyond what is needed to provide the Service. For analysis you grant us a limited license to receive, store, process and transmit the media you upload, and to send it to the processors named in the Privacy Policy, solely to produce the analysis and return it to you. Uploads are deleted when the analysis finishes; the analysis document is kept for 90 days so you can fetch it again, then deleted.
You confirm that you own or have the rights to everything you upload, including the people who appear and speak in it and any music in it, and that analysing it does not break a law, a contract or someone else's rights. We do not review what you upload. If we receive a valid infringement notice under the Digital Millennium Copyright Act we will act on it; send notices to our designated agent: DMCA Agent, Blackmere Labs LLC, 30 N Gould St Ste N, Sheridan, WY 82801, United States, g@betteredits.app.
We never use your content to train models, and our processors are bound by their own terms not to; see the Privacy Policy for each one.
9. Acceptable use
You may not use the Service to:
- upload or analyse content that is illegal, that you do not have the right to use, or that sexually depicts minors;
- record or analyse people where the law requires their consent and you do not have it;
- attack, probe, overload or bypass the limits of the Service, its API or its payment flow, or share account credentials or device keys with people outside your account;
- use the trial more than once through multiple accounts, or use promotion codes you are not entitled to;
- resell analysis or the API as a service of your own without a written agreement with us.
We may suspend or close an account that breaks these terms, refuse an analysis, and, where fraud is involved, void credits and refuse refunds.
10. Closing your account
You can ask us to close your account at g@betteredits.app; we do it within 30 days. Closing an account cancels any subscription, revokes every linked Mac, deletes the account's analyses and forfeits its remaining credits, which are not refunded. The free editor keeps working; nothing on your Mac is touched.
We may close or suspend an account for breach of these terms, for non-payment, or if we discontinue the Service. If we discontinue Pro, we will give at least 30 days' notice and refund the unused part of any prepaid period; credits from packs bought in the last 90 days are refunded pro rata.
11. Beta software, changes and availability
The App is currently in beta. It cuts, captions and exports real videos today, and we are still finding the rough edges; keep copies of footage you cannot replace. We may change, add or remove features of the App and the Service at any time, and may change these terms; a material change is announced by email or in the App, and takes effect 14 days after the notice unless the law requires longer. Using the Service after a change takes effect means you accept it.
The analysis feature depends on third-party providers and may be unavailable, slow or produce mistakes. Transcripts and descriptions are generated by machine and are not guaranteed accurate; check anything that matters before you publish.
12. Trademarks and third parties
BetterEdits and the BetterEdits logo are trademarks of Blackmere Labs LLC. Claude and Claude Code are trademarks of Anthropic, PBC; Codex is a trademark of OpenAI; macOS and Mac are trademarks of Apple Inc.; Instagram and Meta are trademarks of Meta Platforms, Inc. BetterEdits works with those products and is not affiliated with, endorsed by or sponsored by any of those companies.
13. Disclaimer of warranties
THE SERVICE AND THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY ANALYSIS WILL BE ACCURATE OR COMPLETE. Some jurisdictions do not allow the exclusion of implied warranties; where that is the case, the exclusion applies to the extent the law allows, and any implied warranty is limited to 30 days.
14. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, BLACKMERE LABS AND ITS MEMBERS, OFFICERS, EMPLOYEES AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST FOOTAGE OR LOST BUSINESS, ARISING FROM OR RELATED TO THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US $50. These limits do not apply to liability that cannot be limited by law, including for gross negligence, wilful misconduct, or death or personal injury caused by negligence, and do not limit the statutory rights of consumers in the EU, UK or elsewhere.
15. Indemnity
You will defend and indemnify Blackmere Labs against claims, damages and reasonable costs (including legal fees) that arise from your content, your breach of these terms, or your violation of a law or of someone else's rights. This clause does not apply to consumers where the law does not allow it.
16. Governing law and disputes
These terms are governed by the laws of the State of Wyoming and the federal laws of the United States, without regard to conflict-of-law rules. Any dispute that we cannot settle informally is brought in the state or federal courts located in Sheridan County, Wyoming, and both sides consent to their personal jurisdiction and venue there; either side may instead bring a claim that qualifies in a small-claims court where you live. If you are a consumer in the EU or UK, you keep the protection of the mandatory laws of your country of residence and may bring a claim in its courts.
Before starting a formal dispute, write to g@betteredits.app; most problems are fixed within a few days.
17. General
These terms and the Privacy Policy are the whole agreement between you and us about the Service. If a clause is found unenforceable, the rest stands. Our failure to enforce a clause is not a waiver. You may not assign these terms; we may assign them to a successor of the business. Notices to you go to the email on your account; notices to us go to g@betteredits.app or the postal address above. The section headings are for reading, not interpretation.
